These Terms of Service ("Terms") constitute a legally binding agreement between you and CHI CONSULTANCY LTD, trading as meetbob.ai ("we", "us", "our"). By accessing our website at meetbob.ai or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.
We provide operational intelligence services for service-based businesses, including the Operational Intelligence Audit and the BOB (Business Operating Brain) application. The specific scope, deliverables, and terms of each engagement will be defined in a separate service agreement or statement of work executed between you and us.
All intellectual property rights in the BOB platform, including its architecture, design, algorithms, methodologies, processes, and underlying technology, are and shall remain the exclusive property of CHI CONSULTANCY LTD. Nothing in these Terms or any service agreement transfers ownership of our intellectual property to you.
The operational intelligence outputs generated by your BOB instance, including proposals, analysis reports, and recommendations, are provided for your business use. Your operational data remains your property at all times. We retain the right to use aggregated and anonymised data derived from our services to improve our products and develop new features.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This includes, without limitation, business strategies, client lists, pricing information, technical specifications, and operational data. The obligation of confidentiality survives the termination of any service agreement for a period of five years.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Each BOB deployment operates in complete data isolation. Your operational data is stored in a dedicated database that is not shared with or accessible to any other client. We implement industry-standard security measures to protect your data.
Fees for our services are as specified in the applicable service agreement or statement of work. Unless otherwise agreed in writing, all fees are due within thirty days of invoice. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. All fees are non-refundable unless otherwise specified in the service agreement.
To the maximum extent permitted by applicable law, CHI CONSULTANCY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with these Terms or our services, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the twelve months preceding the event giving rise to the claim.
Our services are provided on an "as is" and "as available" basis. While we strive to deliver accurate and valuable intelligence, we make no warranties or representations, express or implied, regarding the accuracy, completeness, or reliability of any outputs generated by the BOB application. The intelligence provided by BOB is intended to inform your business decisions, not replace your professional judgment. You retain full responsibility for all business decisions made using BOB's outputs.
You agree to indemnify, defend, and hold harmless CHI CONSULTANCY LTD, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate a service engagement by providing thirty days written notice to the other party. Upon termination, we will provide you with a copy of your operational data in a standard format within thirty days of your request. We reserve the right to retain anonymised and aggregated data for product improvement purposes. Any fees owed for services rendered prior to termination remain due and payable.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, pandemics, civil unrest, cyber attacks, power failures, or disruptions to internet or telecommunications infrastructure.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CHI CONSULTANCY LTD is registered. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and CHI CONSULTANCY LTD with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any such changes constitutes your acceptance of the modified Terms.
